1. About Direkta

Direkta provides technology and infrastructure designed to help businesses manage and optimize digital payment operations and related financial workflows.

You are responsible for ensuring that your use of payment-related Services complies with all applicable laws, regulations, industry requirements, and contractual obligations.

6. Fees and Payments

Where applicable, pricing, billing arrangements, payment terms, and applicable taxes will be communicated to you through an order form, commercial agreement, subscription plan, invoice, or other applicable documentation.

Unless otherwise agreed:

  • Fees are based on the Services purchased or used;
  • You are responsible for applicable taxes and governmental charges;
  • Fees are generally non-refundable except where expressly stated otherwise; and
  • Failure to pay applicable fees may result in suspension or termination of access.

Direkta reserves the right to modify pricing for future purchases or subscription periods, subject to applicable contractual requirements.

7. Intellectual Property

The Services, including the Direkta website, software, technology, interfaces, designs, trademarks, logos, documentation, content, and other materials, are owned by or licensed to Direkta and are protected by applicable intellectual property laws.

Except as expressly permitted under these Terms, you may not:

  • Copy or reproduce the Services;
  • Modify or create derivative works;
  • Distribute or publicly display our proprietary materials;
  • Remove copyright, trademark, or proprietary notices;
  • License, sell, lease, or transfer access to the Services; or
  • Use Direkta's trademarks or branding without prior written authorization.

These Terms do not transfer ownership of any intellectual property from Direkta to you.

You retain ownership of your Customer Data.

You represent that you have the necessary rights and permissions to provide Customer Data to Direkta and authorize its processing as contemplated by the Services.

10. Third-Party Services

Direkta is not responsible for the availability, functionality, security, or performance of third-party services that are outside our reasonable control.

If you choose to connect a third-party service to Direkta, you authorize Direkta to exchange the information reasonably necessary to provide the requested integration.

11. Service Availability

We strive to keep the Services available and reliable, but we do not guarantee that they will always be uninterrupted, error-free, or available at all times.

The Services may occasionally be unavailable because of:

The receiving party agrees to:

  • Protect it using reasonable measures; and
  • Not disclose it to unauthorized third parties except where permitted or required by law.

Confidential information does not include information that is publicly available, independently developed, lawfully received from another source, or becomes public without violation of these Terms.

Where the parties have entered into a separate confidentiality agreement, that agreement will govern to the extent of any conflict.

14. Security

Direkta implements reasonable technical and organizational measures designed to protect the Services and information processed through them.

However, no online service or security system can guarantee absolute security.

You are responsible for maintaining appropriate security practices for your systems, accounts, credentials, users, and integrations.

15. Disclaimers

To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.

Direkta does not warrant that:

  • The Services will always meet your specific requirements;
  • The Services will be uninterrupted or error-free;
  • All information provided through the Services will always be complete or accurate;
  • The Services will be available in every jurisdiction; or
  • All integrations or third-party services will remain available.

Direkta does not provide legal, tax, accounting, investment, or financial advice through the Services.

You are responsible for obtaining appropriate professional advice regarding your business and regulatory obligations.

16. Limitation of Liability

To the maximum extent permitted by applicable law, Direkta and its affiliates, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, data, or anticipated savings arising from or related to your use of the Services.

To the extent permitted by law, Direkta's total aggregate liability arising out of or relating to the Services or these Terms will be limited to the amount of fees actually paid by you to Direkta for the Services giving rise to the claim during the twelve (12) months preceding the event giving rise to the liability.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

17. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Direkta, its affiliates, officers, employees, contractors, and service providers from claims, liabilities, damages, losses, costs, and expenses arising from:

  • Your violation of these Terms;
  • Your unlawful or unauthorized use of the Services;
  • Your Customer Data;
  • Your violation of applicable laws or regulations; or
  • Your infringement of the rights of another person or entity.

Direkta will provide reasonable notice of any applicable claim and may participate in the defense with counsel of its choice.

18. Suspension and Termination

You may stop using the Services at any time, subject to any applicable contractual obligations.

Direkta may suspend or terminate access to the Services if:

  • You materially breach these Terms;
  • You fail to pay applicable fees;
  • Your use creates a security or legal risk;
  • Your account is involved in suspected fraudulent or unlawful activity;
  • Suspension is necessary to comply with applicable law; or
  • The Services are discontinued.

Where reasonably possible and legally permitted, Direkta will provide notice before terminating or suspending access for a breach and provide an opportunity to address the issue.

Upon termination, your right to use the Services will end.

Sections that by their nature should survive termination, including intellectual property, confidentiality, disclaimers, limitations of liability, indemnification, and governing law, will remain in effect.

You agree to use the Services in compliance with all applicable laws and regulations.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent, except where permitted in connection with a merger, acquisition, or sale of substantially all of your assets.

Direkta may assign these Terms as part of a corporate restructuring, merger, acquisition, financing, or sale of assets.

These Terms, together with any applicable agreements, policies, and additional terms referenced herein, constitute the agreement between you and Direkta regarding your use of the Services.
